Terms & Conditions

These Terms & Conditions ("Terms") govern access to and use of the Ravenite platform (ravenite.com), operated by Sell Me This Pen Inc., doing business as Ravenite ("Ravenite", "we", "us"), of 1010 Sainte-Catherine St. West, Montreal, QC H3B 5L1.

1 · Acceptance & eligibility

By accessing or using Ravenite, you accept these Terms on behalf of yourself and, where applicable, the organization you represent (the "Customer"). Ravenite is a business tool intended solely for professional use by executive search firms, recruiting teams, and similar organizations. It is not offered to consumers. You must be at least 18 years old and authorized by the Customer to bind it to these Terms. If you do not agree, do not use the service.

2 · Definitions

  • "Candidate Data" means personal information about individuals surfaced or processed in connection with a search, such as name, title, employer, and work history.
  • "Output" means the results the platform generates for the Customer, including research summaries, market maps, and Shortlists.
  • "Shortlist" means a set of candidate profiles the platform organizes for human review against the Customer's brief.
  • "Fit Score" means an informational indicator of how closely available information about a candidate matches the criteria the Customer defined in its brief. It is not a grade, assessment, or evaluation of the candidate as a person.

3 · The service

Ravenite is a research and sourcing tool. It surfaces, organizes, and summarizes publicly available and licensed professional information relative to criteria the Customer defines, so that human researchers can review the market for a mandate. Ravenite supports human researchers; it does not replace them.

4 · Not an automated employment decision tool; no ranking or hiring decisions

This section is central to how Ravenite may be used:

  • Ravenite does not make, and is not designed to make, employment decisions.
  • Ravenite does not rank, grade, screen out, reject, or select candidates. Any Fit Score or tier label (for example "Strong", "Solid", or "Stretch") reflects only relevance to the criteria the Customer defined. It is an informational research aid for human review — not an assessment of a candidate's abilities, character, or any protected characteristic.
  • A qualified human at the Customer makes all sourcing, outreach, and hiring decisions. Output must not be used as the sole basis for any employment decision.
  • Ravenite is a research aid with a human always in the loop.

5 · Acceptable use & responsible sourcing

The Customer agrees to use Ravenite only for legitimate professional recruiting, lawfully and ethically. Specifically, the Customer agrees to:

  • Comply with all applicable employment and anti-discrimination laws (for example Title VII, the ADA, the ADEA, and their equivalents in other jurisdictions), and never use Ravenite to discriminate on the basis of protected characteristics.
  • Comply with applicable privacy laws (including GDPR, CCPA/CPRA, PIPEDA, and Québec Law 25) and with automated-hiring, bias-audit, and transparency laws where they apply to the Customer's own activities (for example NYC Local Law 144, the EU AI Act, and Illinois and Colorado requirements).
  • Not harass, stalk, surveil, or contact candidates unlawfully; comply with anti-spam and e-privacy rules; and honor candidate opt-outs.
  • Not scrape the platform, reverse-engineer it, resell access or Output, or use Output to build a competing data product.
  • Maintain human oversight of all decisions informed by the service.

6 · Customer responsibilities & compliance

The Customer is responsible for its own legal compliance, including its lawful basis to process and contact candidates, any notices, disclosures, or bias audits required of it, and all hiring decisions it makes. The Customer will indemnify and hold Ravenite harmless from claims arising out of the Customer's misuse or unlawful use of the service.

7 · Data protection

Ravenite processes personal information as described in our Privacy Policy. A Data Processing Addendum is available to Customers and forms part of the agreement where accepted.

8 · Accuracy disclaimer

Information on the platform is drawn from third-party and publicly available sources and may be incomplete, outdated, or inaccurate. Output is provided "as is." The Customer must independently verify information before acting on it. Ravenite does not guarantee the accuracy or completeness of any Output, or that a search will produce any particular result.

9 · Intellectual property

Ravenite owns the platform, including all software, models, and interfaces. The Customer owns its inputs (briefs, criteria, and materials it submits). Ravenite grants the Customer a limited, non-exclusive, non-transferable license to use Output for its own internal recruiting purposes only.

10 · Warranties, liability & indemnification

Except as expressly stated in these Terms, the service is provided without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Ravenite's aggregate liability arising out of or relating to the service is limited to the amounts paid by the Customer for the service in the twelve months preceding the claim, and Ravenite is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or data. The Customer's indemnification obligations are set out in section 6.

11 · Suspension & termination

Ravenite may suspend or terminate access, in whole or in part, for breach of these Terms — in particular the acceptable use and responsible sourcing obligations in section 5 — or where required by law. Sections that by their nature should survive termination (including sections 4, 6, 8, 9, 10, and 12) survive.

12 · Governing law, changes & contact

These Terms are governed by the laws of the Province of Québec, Canada, and the federal laws of Canada applicable therein. The courts of the Province of Québec have exclusive jurisdiction over disputes arising out of these Terms.

We may update these Terms from time to time; material changes will be reflected in the "Last updated" date above and, where appropriate, notified to Customers. Questions: Info@ravenite.com.
